Acceptance of Terms
By accessing and using ZedLogix services, you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to abide by these terms, please do not use our services.
Services Description
ZedLogix provides software development services including but not limited to mobile app development, web development, SaaS product development, UI/UX design, and custom software solutions. Specific project scope, deliverables, and timelines will be defined in individual project agreements.
Client Responsibilities
Clients agree to provide accurate information, timely feedback, and necessary resources to complete the project. Clients are responsible for ensuring they have the legal right to use any content, images, or materials they provide to ZedLogix.
Payment Terms
Payment terms will be specified in individual project agreements. Generally, a deposit is required before project commencement, with milestone payments as defined in the project scope. Final payment is due upon project delivery and acceptance.
Intellectual Property
Upon full payment, clients receive ownership of custom code and deliverables created specifically for their project. ZedLogix retains rights to reusable components, frameworks, and methodologies developed during the project. Third-party libraries and open-source components remain under their respective licenses.
Confidentiality
Both parties agree to maintain confidentiality of all proprietary information shared during the project. This includes but is not limited to technical specifications, business strategies, and any other sensitive information.
Limitation of Liability
ZedLogix shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of our services.
Termination
Either party may terminate the agreement with written notice. Clients will be responsible for payment for all work completed up to the termination date. ZedLogix reserves the right to terminate services for non-payment or violation of these terms.
Governing Law
These terms shall be governed by and construed in accordance with the laws of the jurisdiction in which ZedLogix operates. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.
Changes to Terms
ZedLogix reserves the right to modify these terms at any time. Continued use of services after changes constitutes acceptance of the new terms.
